Webb Computer Repair — Commercial Priority Membership Agreement

This Agreement is entered into on the date of electronic signature below between Webb Computer Repair ("Provider"), located at 122 E Carl Albert Pkwy, Ste D, McAlester, OK 74501, and the business identified in the Customer Information section below ("Member").

1. Membership Selected

Member is enrolling in the Commercial Premium — 6-Month Prepay plan at $1,000.00 one-time, covering six (6) months of membership beginning on the date payment is received.

2. Services Included

Membership includes the benefits described on webbcomputerrepair.com/commercial-membership.php for the selected tier, including: priority scheduling, a recurring on-site visit each calendar month, member labor discount on additional service tickets, and the additional benefits specific to the Premium tier where applicable (free after-hours emergency callout per quarter, quarterly written health report, featured partner placement).

2a. After-Hours Service

"After-hours" is defined as any service request that falls outside the hours of 8:00 AM to 7:00 PM, Monday through Friday (Central Time). After-hours service is offered exclusively to active members of either tier; it is not available to non-members at any price.

Plus members may request after-hours emergency callouts at a flat fee of $200.00 per callout. Premium members receive one (1) after-hours emergency callout per calendar quarter at no additional charge; any additional after-hours callouts within the same quarter are billed at $100.00 per callout. The Member's labor discount (10% Plus / 15% Premium) applies to any work performed during the callout, regardless of tier.

3. Scope of Monthly Visit

The monthly on-site visit covers minor troubleshooting, software updates, peripheral fixes, physical cleaning, and quick health checks within the time allotted for the Member's tier (30 minutes Plus / 60 minutes Premium). Work that requires replacement parts, operating system reinstallation, data recovery, or that exceeds the visit's allotted time will convert to a regular service ticket, to which the Member's labor discount will apply.

4. Service Area

The membership service area is limited to addresses within the city limits of McAlester, Oklahoma, or within downtown Krebs, Oklahoma. Member's primary service address (provided at enrollment) must fall within this area. Service requests at addresses outside this area are not covered by the membership and may be handled, if at all, as standard non-member service tickets at Provider's discretion.

5. Equipment Covered

This membership covers Windows-based personal computers and standard small-business networking equipment only. Provider does not service Apple/Mac products, mobile devices (cell phones, tablets), or gaming consoles, and these are excluded from membership benefits.

6. Scheduling, Missed Visits, and Rescheduling

Visits are by appointment. Provider will work with Member to schedule each monthly visit at a mutually agreeable date and time. Member is responsible for ensuring access to equipment at the scheduled time. Missed visits — including those Member fails to attend or for which Member fails to provide access — do not roll over to subsequent months.

7. Payment Terms

The six-month prepay is a one-time charge processed through Stripe at enrollment and is non-refundable. Membership benefits begin on the date payment is received and end six (6) calendar months thereafter.

Prepayments and unused portions of monthly payments are non-refundable but are transferable to another business in the event of sale, merger, or closure of Member's business, upon written notice to Provider.

8. Cancellation

Member may cancel a monthly membership at any time by notifying Provider in writing (email is sufficient). Cancellation will take effect at the end of the then-current billing period. Provider may terminate this Agreement for non-payment, abuse, or violation of its terms; in such case Provider will refund any unused prepaid months pro rata.

9. Limitation of Liability

Provider's services are offered in good faith and to a professional standard, but are provided "as is." Provider's total liability under this Agreement is limited to the amount paid by Member in the three (3) months preceding any claim. Provider is not liable for incidental, consequential, or indirect damages, including data loss; Member is responsible for maintaining backups of important data.

10. Confidentiality

Provider will treat any business information accessed during the course of service as confidential and will not disclose it to third parties except as required by law.

11. Entire Agreement

This Agreement, together with the plan description on Provider's website at the time of enrollment, constitutes the entire agreement between the parties on this subject and supersedes any prior understandings. Modifications must be in writing and signed (electronically or otherwise) by both parties.

12. Governing Law

This Agreement is governed by the laws of the State of Oklahoma. Any disputes will be resolved in the courts of Pittsburg County, Oklahoma.

13. Electronic Signature

By typing your name and checking the agreement box below and submitting this form, Member intends to be legally bound to the terms of this Agreement, the same as if signed by hand. The date and IP address of submission will be recorded as part of the executed contract.
